1. Agreement and operator

These Terms of Service ("Terms") are a legal agreement between you and McFarland Financial Coaching LLC ("McFarland Financial Coaching," "we," "us," or "our") concerning Talents, our budgeting web application and related features, content, and services (collectively, the "Service").

Talents is separate from any individual financial coaching engagement. If you also purchase coaching services, the coaching agreement and any related policies govern those services. These Terms govern the Service itself.

If you use the Service for a household or on behalf of another person, you represent that you have authority to provide the information you enter and to accept these Terms for your own use. You may not accept these Terms on behalf of another adult unless you are legally authorized to do so.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use Talents. During beta, access may require an invite code or other approval. An invitation is personal, may be limited, and may be revoked.

Accurate information. You must provide a current email address and accurate account information, and you must keep that information current.

Account security. You are responsible for protecting your password, passkeys, recovery codes, devices, and active sessions. Do not share your personal login. Use Talents household-sharing tools when another person needs access.

Notice of misuse. Tell us promptly if you believe your account, recovery method, or device has been compromised. You remain responsible for activity under your account until you notify us, except where applicable law provides otherwise.

One person per login. Each person should use a separate account. You may not sell, transfer, sublicense, or rent access to your account.

3. The Service and your license

Talents helps users organize budgets, transactions, recurring items, goals, debts, household finances, reports, and related information. Features may include manual entry, comma-separated value (CSV) imports, optional bank connections, category suggestions, debt payoff illustrations, and household sharing.

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for lawful personal or household financial organization. This license does not transfer ownership of Talents or any part of the Service.

Talents is in beta. We may add, change, limit, suspend, or remove features as we test and improve the Service. We do not promise that any particular feature, integration, calculation, or format will remain available.

4. Your financial information and responsibilities

You are responsible for the information you enter, upload, import, categorize, edit, or share through Talents. Review imported transactions, balances, categories, due dates, projections, and reports before relying on them.

Accuracy. The Service may display information that is delayed, incomplete, duplicated, incorrectly categorized, or affected by data from you or a third party. You are responsible for correcting your records and confirming important information with the original source.

Decisions. You are solely responsible for spending, saving, borrowing, repayment, investment, tax, insurance, and other financial decisions. Talents does not initiate payments, move money, pay bills, or change obligations with creditors.

Records. Talents is not a system of record. Keep copies of bank statements, tax records, contracts, receipts, and any other documents you are required to retain or may need later.

Lawful data. Only enter information you have the right to use. Do not upload or share another person’s financial information without permission or legal authority.

5. Educational tool, not professional advice

Talents is a budgeting and educational tool. It does not provide individualized investment, tax, legal, accounting, credit-repair, insurance, or other licensed professional advice. Use of the Service does not create an adviser-client, fiduciary, attorney-client, accountant-client, or similar professional relationship.

Debt payoff dates, spending pace, savings progress, affordability estimates, and other calculations are estimates based on the information available to the Service. They are not promises, offers, approvals, or guarantees. Interest, fees, timing, user behavior, third-party data, and other factors can change actual results.

Consult an appropriately qualified professional before making a significant financial, legal, tax, investment, credit, or insurance decision. If you are experiencing a financial emergency, contact the relevant financial institution, creditor, licensed professional, or emergency resource directly.

6. Bank connections and third-party services

Talents may offer optional connections to financial institutions through Plaid or another data provider. Availability depends on the provider and your financial institution. A supported connection today may become unavailable later.

Your authorization. When you connect an account, you authorize the applicable provider and financial institution to provide account and transaction information for use in Talents. Do not send bank login credentials to us by email or support message.

Separate terms. Third-party services are governed by their own terms and privacy practices. We do not control their systems, security, data accuracy, or availability.

No banking relationship. Talents is not a bank, money transmitter, lender, payment processor, credit bureau, or financial institution. A connection does not give us authority to move funds.

Connection limits. Synced information may be stale, missing, duplicated, or mislabeled. Always confirm balances, pending items, fees, and payment status with your financial institution.

Disconnecting. Disconnecting an account stops future sync through that connection, but information already imported into Talents may remain until it is deleted from the Service or your account is closed, subject to the Talents Privacy Notice and applicable law.

The Service also relies on hosting, security, authentication, and device services supplied by third parties. We are not responsible for third-party products, websites, terms, outages, or conduct.

7. Household sharing

Talents may allow an account owner to invite another user to a shared household budget. A household guest can view and change the owner’s shared budget data, including transactions, categories, goals, debts, reports, and related settings made available through the Service.

Invite carefully. Only share a household code with a person you trust. Anyone who receives and uses a valid code may gain access to the shared budget.

Shared changes. Actions by one household user may change what other household users see. Coordinate before editing or deleting shared records.

Permission. Each household participant must have permission to access the financial information in the shared budget. Do not use household sharing to monitor or control another person without their knowledge and consent.

Leaving. Leaving a shared household ends shared access through your account, but it does not undo changes previously made or remove records from the owner’s budget.

The household owner is responsible for deciding who may access the shared budget. We may remove sharing access when needed to protect the Service, comply with law, or address a dispute, but we are not responsible for resolving household disagreements.

8. Acceptable use

You may not misuse Talents or help anyone else do so. Prohibited conduct includes:

Unlawful use. Using the Service to violate law, infringe rights, commit fraud, evade obligations, or facilitate harmful activity.

Unauthorized access. Accessing or attempting to access another person’s account, data, device, session, invite, recovery method, or shared budget without permission.

Security interference. Bypassing rate limits, access controls, authentication, or other safeguards; probing for vulnerabilities without written permission; or introducing malicious code.

Service disruption. Overloading, scraping, automating, indexing, or using the Service in a way that interferes with normal operation or other users.

Improper copying. Reverse engineering, decompiling, disassembling, reproducing, reselling, or creating derivative works from the Service except where applicable law expressly permits it.

False identity. Impersonating another person or organization, misrepresenting affiliation, or using an invite or account obtained through deception.

We may investigate suspected misuse and may preserve or disclose information when reasonably necessary to protect users, enforce these Terms, comply with legal process, or protect the rights, property, and safety of McFarland Financial Coaching LLC or others, subject to applicable law and the Talents Privacy Notice.

9. Ownership, your data, and feedback

Our materials

Talents, including its software, design, branding, text, graphics, calculations, organization, and other materials, is owned by McFarland Financial Coaching LLC or its licensors and is protected by intellectual property laws. Except for the limited license in Section 3, no rights are granted to you.

Your data

As between you and us, you retain your rights in the financial information and other content you submit to the Service ("User Data"). You grant us a limited, non-exclusive license to host, store, reproduce, process, transmit, and display User Data only as reasonably needed to provide, secure, maintain, support, and improve the Service, comply with law, and enforce these Terms.

You represent that you have the rights and permissions needed to provide User Data and allow the uses described above. This license ends when the User Data is deleted from our systems, except for information retained as permitted by the Talents Privacy Notice, required by law, or stored temporarily in backups.

Feedback

If you send suggestions, ideas, or other feedback about Talents, you allow us to use it without restriction or compensation. This does not give us ownership of your User Data or confidential financial information.

10. Privacy and security

The Talents Privacy Notice explains what information we collect, how we use and share it, how long we keep it, and what choices may be available. The Privacy Notice is incorporated into these Terms by reference.

We use administrative, technical, and organizational safeguards designed to protect the Service and User Data. However, no system, network, transmission, or storage method is completely secure. You acknowledge the risks of storing and transmitting financial information online and agree to use reasonable security practices on your own devices and accounts.

If you believe Talents has a security problem, contact us at mcfarlandfinancialcoaching@gmail.com. Do not publicly disclose a vulnerability before giving us a reasonable opportunity to investigate and address it.

11. Beta access, availability, and fees

Talents is currently offered as a free beta unless we clearly tell you otherwise. We may later offer paid plans or features. Before charging you, we will disclose the price, billing terms, and any additional terms and obtain the authorization required for the transaction.

We do not guarantee uninterrupted, timely, secure, or error-free access. Maintenance, updates, provider outages, internet or device problems, emergencies, abuse prevention, or events outside our control may interrupt the Service. We may set usage limits or pause features to protect users and the Service.

12. Suspension, termination, and account closure

You may stop using Talents at any time. To request account closure, contact mcfarlandfinancialcoaching@gmail.com. Before closing your account, save any information you want to keep. Account closure may be irreversible.

We may suspend or terminate access if you violate these Terms, create risk or harm, fail to meet eligibility requirements, misuse the Service, or if suspension is reasonably necessary for security, legal compliance, or operation of the Service. During beta, we may also end or limit the Service with reasonable notice when practical.

When access ends, the license in Section 3 ends. Sections that by their nature should continue will survive, including Sections 4 through 10 and 13 through 18. Data handling after closure is governed by the Talents Privacy Notice and applicable law.

13. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." MCFARLAND FINANCIAL COACHING LLC DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND QUIET ENJOYMENT.

WE DO NOT WARRANT THAT THE SERVICE, DATA, CALCULATIONS, CATEGORIES, IMPORTS, SYNCS, REPORTS, OR THIRD-PARTY CONNECTIONS WILL BE COMPLETE, CURRENT, ACCURATE, UNINTERRUPTED, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. WE DO NOT GUARANTEE ANY FINANCIAL RESULT.

Some jurisdictions do not allow certain warranty exclusions. In that case, the exclusions apply only to the extent permitted by law, and you may have additional rights.

14. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MCFARLAND FINANCIAL COACHING LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, SAVINGS, DATA, OR GOODWILL; FINANCIAL DECISIONS OR LOSSES; OR THE COST OF SUBSTITUTE SERVICES, ARISING FROM OR RELATED TO TALENTS, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF MCFARLAND FINANCIAL COACHING LLC AND THE PARTIES LISTED ABOVE FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR TALENTS DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100.

These limits apply regardless of the legal theory and even if a remedy fails of its essential purpose. They do not limit liability that cannot legally be limited, including liability for fraud, willful misconduct, or other matters excluded by applicable law.

15. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless McFarland Financial Coaching LLC and its owners, officers, employees, and contractors from third-party claims, damages, losses, liabilities, and reasonable expenses, including legal fees, arising from your unlawful misuse of the Service, your material breach of these Terms, your violation of another person’s rights, or User Data you provide without required permission. This obligation does not apply to the extent a claim results from our own negligence, willful misconduct, or violation of law.

16. Governing law and disputes

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law rules, except to the extent federal law applies.

Before filing a lawsuit, you and McFarland Financial Coaching LLC agree to make a good-faith effort to resolve the dispute informally. A party starting the process must send a written description of the dispute and requested resolution. If the dispute is not resolved within 30 days after receipt, either party may pursue available remedies.

Any lawsuit arising from or related to these Terms or the Service must be brought in a court of competent jurisdiction in Colorado, and each party consents to personal jurisdiction and venue there. Nothing in this section prevents either party from seeking temporary or emergency relief when necessary to protect accounts, data, intellectual property, or safety. Consumer rights that cannot be waived remain in effect.

17. Changes to these Terms

We may update these Terms as Talents changes. We will post the updated Terms and change the effective or last-updated date. If a change materially affects your rights, we will provide additional notice through the Service, by email, or by another reasonable method before the change takes effect when required by law.

Your continued use after updated Terms take effect means you accept them. If you do not accept an update, you must stop using the Service and may request account closure.

18. General terms

Entire agreement. These Terms and the Talents Privacy Notice are the entire agreement concerning the Service, except for additional terms presented for a specific feature. A separate coaching agreement governs coaching services.

Severability. If a provision is held unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will continue in effect.

No waiver. A failure to enforce a provision is not a waiver of the right to enforce it later.

Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, financing, reorganization, sale of assets, or transfer of the Service, subject to applicable law.

No third-party beneficiaries. These Terms do not create rights for anyone other than you and McFarland Financial Coaching LLC, except that parties protected by Sections 14 and 15 may enforce those sections.

Electronic communications. You agree that notices and records related to the Service may be provided electronically through the Service or at the email address associated with your account, subject to applicable law.

Headings. Section headings are for convenience and do not change the meaning of these Terms.
